Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Rohirrim software, website, and related services (collectively, the "Service"), operated by US PROGRAMMING LLC ("US PROGRAMMING LLC," "we," "us," or "our"). By accessing or using the Service, or by purchasing a subscription, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Rohirrim is a customer-relationship and deal-management platform for real-estate investors, including features such as lead ingestion, deal and contact tracking, financial modeling, offer and contract generation, and buyer outreach. We may also provide custom software development services under a separate written agreement.

2. Accounts

To use the Service you must create an account and provide accurate, complete information. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

3. Subscriptions, billing, and payment

• Paid plans are billed on a recurring monthly basis in advance. By subscribing, you authorize us to charge your payment method on each renewal date until you cancel.
• Payments are processed by Stripe, Inc. Your use of payment features is also subject to Stripe's terms and privacy policy. We do not store full payment-card numbers on our servers.
• Fees are stated in U.S. dollars and are exclusive of taxes, which you are responsible for where applicable.
• We may change plan pricing on a prospective basis with reasonable advance notice; changes take effect at your next renewal.

4. Cancellations and refunds

You may cancel your subscription at any time; cancellation stops future renewals. Please review our Refund & Cancellation Policy, which is incorporated into these Terms.

5. Acceptable use

You agree not to misuse the Service. You will not, and will not permit others to: (a) use the Service for any unlawful purpose or in violation of applicable real-estate, marketing, anti-spam, or privacy laws; (b) send unsolicited communications in violation of law; (c) attempt to gain unauthorized access to the Service or its systems; (d) reverse engineer, resell, or sublicense the Service except as permitted; or (e) upload malicious code or infringing content.

6. Customer data

You retain ownership of the data you submit to the Service ("Customer Data"). You grant us a limited license to host, process, and use Customer Data solely to provide and improve the Service. You are responsible for having the necessary rights and consents for any data you upload, including contact and property data.

7. Intellectual property

The Service, including all software, design, and content we provide, is owned by US PROGRAMMING LLC and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription term, subject to these Terms.

8. Third-party services

The Service integrates with third-party providers (for example, MLS data sources, e-signature and document providers, and payment processors). Your use of those integrations may be subject to the third party's own terms, and we are not responsible for third-party services.

9. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Rohirrim provides tools for managing deals and does not provide legal, financial, tax, or real-estate brokerage advice, and nothing in the Service should be relied upon as such.

10. Limitation of liability

To the maximum extent permitted by law, US PROGRAMMING LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Termination

We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to us or others. Upon termination, your right to use the Service ends; certain provisions survive by their nature.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice, for example by posting the updated Terms with a new effective date. Continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the State of Arizona and applicable United States federal law, without regard to conflict-of-laws rules. You agree that the exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state or federal courts located in Arizona, and you consent to the personal jurisdiction of those courts.
